Group Presentation. Our client is an internatioonal industrial and technology company employing around 100,000 people. Across 48 countries it generated sales of €38 billion in fiscal 2022/2023. Mexico – as part of North America – is a strategic growth region and, thus, we are expanding our regional support team. Your Responsibilities The Senior Counsel will be responsible for providing commercial and contract advice to the various group companies across three business segments (Automotive Technologies, Material Services, DC Technologies). This position – together with the Senior Labor and Litigation Counsel will be embedded in the legal entity of one company´s (with head office in Puebla) but report directly to client North America's General Counsel, based in Chicago. Essential Duties and Responsibilities: • Establishes negotiation objectives and schedules to support and meet business requirements. • Prepares first quality negotiation documents that reflect an advanced knowledge of contract terms and conditions, legal requirements for compliance with applicable laws and regulations, and company's financial policies and strategies. • Understand business requirements and the company's risk tolerance. • Acts as the lead negotiator for the company and directs the involvement and contributions of the business. • Uses highly qualified influencing skills to direct and control the negotiation schedule to meet established milestones for completion. • Maintains business focus that balances the needs of the business for profitability with ensuring the contractual terms and conditions protect the company and minimize risk. • Drives the negotiation to closure and reaches agreement with client on commercial, financial, and legal contractual issues • Executes and finalizes all documentation required for contract closure. • Develops proactive tactics and documents (internal negotiation notes, formal responses) to execute those strategies and goals in a way that will maximize profitability. • Assigns, coordinates, and follows-through on the involvement of all areas of the company in a timely manner to execute the plan, such as those required for a successful "Deal Review" call. • Creates, organizes, communicates, and executes a negotiation plan to support the business requirements as they are defined and refined in a dynamic environment. • Prepares business cases and executive summaries detailing the contract negotiation schedule, issues, and risks. • Maintains open communication with contract management and business leadership to keep them advised of potential issues or risks throughout the contract development, negotiation, and conclusion. • Provides creative solutions and ideas for resolution. • Tracks accomplishments by using pertinent milestones and end goals. • Understands the roles and accountabilities of all contract management employees to draw upon the abilities of others in executing a contract negotiation. • Collaborates with team members to share learning and experience obtained in contract and commercial negotiations. • Prepares and delivers trainings and tool kits for the business and helps to develop contracting processes. Physical Requirements • Prolonged periods of sitting and working on a computer. • Able to travel domestically and internationally, as needed (mainly San Miguel Allende, Mexico City, Detroit, Chicago) Languages: • Fluent Spanish. • Fluent in English.

Essential Duties and Responsibilities: • Provide advice in the areas of employment law, employee benefits, and strategic litigation management. • Lead all aspects of sensitive internal investigations, including research, client and witness interviews, and remedial measures. • Establish objectives and schedules to support and meet business requirements. • Advise on and drafts workplace policies and procedures in compliance with applicable laws. • Understand business requirements and the company’s risk tolerance. • Manage complex employment litigation, including class actions. • Supervise outside counsel on employment and litigation matters and manage external spend. • Confer with management and make recommendations regarding strategic planning for business matters. • Identify and develop risk preventative measures, including training programs related to performance management, management development, etc. • Collaborate with team members to share learning and experiences obtained. The Legal Director – Mexico Manufacturing & LA Legal Operations will ensure all manufacturing operations and related functions in Mexico are well-supported and compliant with relevant laws and regulations. Fostering a Mindset of Integrity & Accountability while promoting systemized cross-functional collaboration. Reporting to Associate General Counsel – Latin America and matrix report operationally to Mexico Manufacturing Directors and Legal Director - Mexico, this person will be providing comprehensive legal counsel on a wide range of matters, including driving high-priority projects within Mexico manufacturing and the LA Region, key local business and functional projects, procurement, employment, labor, union negotiations, environmental, regulatory, and contracts matters. They will be the go-to person in Mexico for all manufacturing-related legal, compliance, and government relations matters. As part of the Mexico Manufacturing Leadership Teams in Guadalajara and San Luis Potosi, this person will play a key role in strategic discussions and decision-making. Support the achievement of Goodyear Mexico’s strategic objectives through legal insights and strategic guidance. This person will also be a member of the Mexico and Latin America Region Legal Team to share best practices and foster a culture of knowledge-sharing and efficiency. While also contributing to regional legal activities and projects, ensuring alignment with broader Latin America objectives. Goodyear Manufacturing in Mexico: • Goodyear operates two large plants in Mexico; in San Luis Potosi and El Salto (Guadalajara). The San Luis Potosi facility represents a major greenfield investment ($550m), built in 2017 it is one of the most technologically advanced tire facilities in the world, employing 1,500 people. Our plant in El Salto was onboarded through our acquisition of Cooper Tire in 2021, also employing approximately 1,500 people. Goodyear in Latin America: • As part of our broader Americas business, Goodyear has a deep and long-standing presence in Latin America. Key hubs include Brazil, Mexico, Chile, Colombia and Peru serving the region. KEY RESPONSIBILITIES • Legal Operations Leadership: - drive LA Legal Operations, ensuring growth and efficiency of legal processes within Mexico and the LA region. Ongoing enhancement of the LA Legal Portal to support business and functional needs in Mexico and across Latin America. Innovate and implement improvements in legal processes to boost productivity and streamline workflows within the legal team. • Lead Special Projects: co-lead special projects throughout Mexico and Latin America, supporting the businesses and functions with priority initiatives. • Stakeholder Engagement: serve as a primary point of contact for legal matters with external stakeholders where matters require, including regulators, government agencies, and industry associations. • Budget Execution & Cost Efficiency: ensure budget execution and coordinate activities for cost efficiency, working with Mexico and extended LA Legal Team to evaluate and optimize operations. Drive Mexico manufacturing and LA budget planning and execution, implementing strategies for continuous cost efficiency and effective resource management. • Lead Best Practice & Collaboration: Work collaboratively with other members of the Mexico and LA Legal Teams to drive best practices, standardize processes, and drive continuous internal process improvements. Foster a culture of knowledge-sharing, efficiency, and teamwork.
